1. Agreement to Terms
By accessing or using Figurs ("Service"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, do not use the Service.
2. Description of Service
Figurs is a Software-as-a-Service (SaaS) platform providing accounting and company secretarial services for UK limited companies, including:
- Bookkeeping and financial record management
- Invoicing, billing, and expense tracking
- Bank feed integration and reconciliation
- VAT return preparation and submission to HMRC
- Financial reporting (P&L, Balance Sheet, Trial Balance)
- Company secretarial functions (statutory registers, filings, dividends)
- Integration with HMRC, Companies House, and payment providers
3. Eligibility
You must:
- Be at least 18 years old
- Be authorised to act on behalf of your UK limited company
- Provide accurate and complete registration information
- Maintain the security of your account credentials
4. Account Registration
To use the Service, you must:
- Create an account with accurate information
- Provide your company's registration number, VAT number (if applicable), and accounting details
- Keep your account information up to date
- Not share your account with others
- Notify us immediately of unauthorised access
5. Subscription and Payment
5.1 Pricing
Current pricing is £25 per month (excluding VAT). We reserve the right to change pricing with 30 days' notice.
5.2 Billing
- Subscriptions are billed monthly in advance
- Payments are processed via Stripe or GoCardless
- VAT will be added to all prices at the prevailing rate
- Failed payments may result in service suspension
5.3 Cancellation and Refunds
- You may cancel at any time with immediate effect
- No refunds for partial months
- You remain responsible for any outstanding charges
- Data export available for 30 days after cancellation
6. Use of Service
6.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms.
6.2 Prohibited Conduct
You must not:
- Submit false, inaccurate, or misleading information to HMRC or Companies House
- Use the Service for fraudulent or illegal activities
- Attempt to circumvent security measures or access restrictions
- Reverse engineer, decompile, or disassemble the Service
- Use automated systems (bots, scrapers) without authorisation
- Interfere with other users' access to the Service
- Upload malicious code, viruses, or harmful content
- Violate any applicable laws or regulations
7. Your Data and Content
7.1 Ownership
You retain all rights to your financial and company data. We do not claim ownership of your content.
7.2 Licence to Us
You grant us a licence to use, store, and process your data solely to provide the Service, including:
- Submitting VAT returns and filings to HMRC and Companies House
- Generating financial reports and insights
- Syncing bank transactions via Finexer
- Processing payments via Stripe and GoCardless
7.3 Data Accuracy
You are responsible for the accuracy of data you provide. We are not liable for errors or omissions in your data
or for any consequences arising from inaccurate submissions to HMRC or Companies House.
7.4 Backup and Security
While we implement robust security measures and regular backups, you are responsible for maintaining your own
copies of critical data.
8. Third-Party Integrations
The Service integrates with third-party services including:
- HMRC: VAT, corporation tax, PAYE, self-assessment
- Companies House: Company filings and data
- Finexer: Open Banking for bank feeds
- Stripe: Payment processing
- GoCardless: Direct debit payments
Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible
for third-party services' availability, accuracy, or actions.
9. Professional Advice Disclaimer
Important: Figurs is a software tool, not a substitute for professional advice.
- We do not provide tax, legal, or financial advice
- You should consult qualified professionals (accountants, solicitors) for advice specific to your situation
- We are not liable for decisions you make based on data or reports generated by the Service
10. HMRC and Companies House Submissions
When you authorise us to submit filings on your behalf:
- You confirm the data is accurate and complete
- You remain legally responsible for the content of submissions
- We submit data on your behalf but do not verify its accuracy
- Late filing penalties from HMRC or Companies House are your responsibility
- You should review all submissions before authorisation
11. Intellectual Property
11.1 Our IP
Figurs, its logo, design, and all software, content, and materials are owned by Figurs Ltd and protected by
copyright, trademark, and other intellectual property laws.
11.2 Licence to Use
We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your business purposes.
This licence terminates upon cancellation of your subscription.
12. Service Availability
12.1 Uptime
We aim for 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance (notified in advance)
- Emergency maintenance
- Third-party service outages (HMRC, Companies House, Finexer, AWS)
- Force majeure events
12.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
13. Limitation of Liability
To the fullest extent permitted by law:
- The Service is provided "as is" without warranties of any kind
- We are not liable for indirect, incidental, special, or consequential damages
- Our total liability is limited to the amount you paid in the 12 months preceding the claim
- We are not liable for HMRC penalties, Companies House fines, or late filing consequences
- We are not liable for data loss, business interruption, or lost profits
- We are not liable for third-party services (banks, payment processors, HMRC, Companies House)
14. Indemnification
You agree to indemnify and hold harmless Figurs, its officers, directors, employees, and agents from any claims,
damages, losses, or expenses arising from:
- Your breach of these Terms
- Inaccurate data or submissions to HMRC or Companies House
- Your violation of laws or third-party rights
- Your use of the Service
15. Data Protection and Privacy
Your use of the Service is also governed by our Privacy Policy,
which explains how we collect, use, and protect your personal data under UK GDPR.
16. Termination
16.1 By You
You may cancel your subscription at any time from your account settings.
16.2 By Us
We may suspend or terminate your account if:
- You breach these Terms
- Payment fails and remains unpaid for 14 days
- You engage in fraudulent or illegal activity
- Required by law or court order
16.3 Effect of Termination
- Your access to the Service will end immediately
- You may export your data within 30 days
- We will delete your data after 30 days (subject to legal retention requirements)
- Outstanding charges remain payable
17. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive
jurisdiction of the courts of England and Wales.
18. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Email notification
- Prominent notice on the website
- In-app notification
Continued use of the Service after changes constitutes acceptance of the new Terms.
19. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between
you and Figurs Ltd regarding the Service.
